Responsibilities
• Construct corporate law scenarios involving large-scale M&A, multi-party deals, regulatory review, and complex governance or restructuring
• Build tasks across M&A, securities, capital markets, corporate governance, contracts, and restructuring
• Develop scenarios involving legal tools (Westlaw, Lexis, virtual data rooms, contract lifecycle management)
• Apply corporate law methodologies and produce reference legal memoranda, transaction documents, and client-facing narratives
• Author rubrics that distinguish authentic corporate law judgment from generic recall

Requirements
• 5+ years working as a corporate attorney or general counsel at a major law firm, investment bank, or large public company
• Direct ownership of M&A transactions, governance matters, or securities filings
• Fluency in corporate law tooling and methodologies, including regulatory approvals and board/shareholder oversight
• Recognized professional credential strongly preferred (JD with bar admission or international equivalent)

Preferred
• Prior experience authoring rubrics, legal training materials, or transaction documentation
